Terms of Service

This is a courtesy translation provided for convenience. The German version is legally binding.

1. Scope

These Terms of Service ("Terms") govern the use of the Memra platform — consisting of the Memra CLI, the web dashboard (memra.ch), the HTTP API, and all associated services. By registering or using the platform, you accept these Terms.

2. Description of the service

Memra is a memory and orchestration layer for Claude Code. Memra stores context snippets, synchronizes them across devices, and enables parallel worker sessions. Memra is not an Anthropic product and is not affiliated with Anthropic.

Memra consists of local components (CLI, Local Studio, Inspector) and optional cloud components (account, sync, billing, hosted features). Local features can be used without a cloud account. Cloud features may be in private beta and are not available to all users.

AI Gateway and external models

If you enable AI Gateway, external providers, or hosted workers, task, prompt, context, or metadata may be transmitted to the provider configured in each case. You are responsible for using only providers and settings that are permissible for your data and your use case.

3. Account

Requirements

  • Minimum age: 16 years (with the consent of a parent or legal guardian)
  • A valid e-mail address
  • Your own Claude API access or Claude Code subscription (for LLM usage)

Responsibility

You are responsible for the confidentiality of your credentials and all activity under your account. Report suspected misuse immediately to security@memra.ch.

4. Tiers & billing

Cloud tiers, hosted workers, and online capacity are managed separately from local hardware limits. While the cloud is in private beta mode, registration, purchases, or tier changes may be restricted or available by invitation only.

Free tier

Local usage may be possible free of charge. Cloud limits, dispatch volume, and session history follow the tier displayed at the time and the current beta activation.

Pro tier (CHF 9/month)

Paid tiers only become binding once they are actively offered and confirmed in the checkout or in the billing interface.

Max tier (from CHF 49/month)

Higher worker capacity may be restricted depending on availability, technical suitability, and abuse/security review.

Right of withdrawal

For Pro/Max subscriptions: 14-day right of withdrawal without stating reasons. Dispatch volume already used is not refunded; the remainder of the month is refunded.

Cancellation

Can be performed yourself at any time via Settings → Danger zone. Data is deleted after 30 days.

5. Permitted use

Memra may be used for any lawful purpose, in particular:

  • Personal and commercial software development
  • Research & teaching
  • Team workflows (Pro/Max tier)

For safety-critical or production-related workflows, you must maintain appropriate human review, tests, backups, and approval processes. Memra does not replace code review, security review, or legal advice.

6. Prohibited use

You may not use Memra for:

  • Illegal activities or the preparation of illegal acts
  • Mass automated scraping without explicit permission
  • Harmful/exploitative bot activity
  • Unauthorized access, credential theft, malware, exploitation of third-party systems, or circumvention of protective measures
  • Automated decisions with legal or similarly significant effect on individuals without an appropriate legal basis, transparency, and human review
  • Processing special categories of personal data in autonomous workflows without prior assessment and appropriate safeguards
  • Reverse engineering of the Memra infrastructure
  • Resale of the service without a written agreement

Violations lead to immediate account suspension without refund.

7. AI, automation, and reports

Memra may use LLMs to route workers, classify memories, generate reports, select providers, or make suggestions for action. Such outputs may be incorrect, incomplete, or outdated. You must review results before using them for legal, financial, safety-critical, or production decisions.

Memra is designed to label automated actions according to their risk: observe-only, recommendation, approval-required, or autonomous. Critical actions such as account/billing changes, deletions, main-branch pushes, deployments, security settings, and the disclosure of new data classes to external providers must not be silently enabled by an LLM.

Reports and audit logs serve traceability. Standard reports are designed to be redacted and to contain no secrets, complete prompts, raw responses, or source code, unless you deliberately export raw data locally.

8. Intellectual property

Your data

You retain all rights to your memories, code, and everything you store in Memra. Memra merely receives a technical processing license for operating the service.

Memra

The Memra software, the brand, the trademarks, the UI — everything remains the property of the Memra operator. The Memra CLI is open source under the MIT license; the web dashboard and the cloud components are proprietary.

9. Availability & SLA

Memra can continue to function locally even when cloud services are unavailable. No SLA applies to beta, free, and local features. Binding SLAs apply only where they are expressly promised in a paid tier or contract.

10. Liability

Memra is liable only for damage caused by gross negligence or intent. Maximum liability amount: the subscription volume you paid over the last 12 months. In particular, no liability for:

  • Loss of memories due to user operating errors
  • Damage caused by content you store in Memra
  • Consequences of outages at Anthropic / Stripe / Cloudflare
  • Damage arising from code that Claude produces under your instruction
  • Incorrect LLM outputs or autonomous actions that you approve without appropriate review

11. Changes to these Terms

In the event of material changes, all Pro/Max users will be informed by e-mail at least 30 days in advance. Free users: via the web dashboard. If you object, you can cancel your account without further costs.

12. Governing law

Swiss law applies, to the exclusion of its conflict-of-laws rules. The place of jurisdiction is Thun, Switzerland.
